PyCentric Client Referral Program Terms & Conditions

The PyCentric Client Referral Program (“Program”) allows individuals to earn a referral reward of up to R10,000 by introducing new, qualified clients who engage PyCentric Pty Ltd (“PyCentric”) for services. By participating in the Program, the Referrer agrees to these Terms and Conditions (“Terms”). The Program is operated by PyCentric.

Referrer Eligibility

• Referrers must be individuals aged 18 years or older on the date of lodging a referral.
• Referrers must not be current employees, contractors, or direct affiliates of PyCentric (this includes, but is not limited to, anyone directly employed by PyCentric, anyone engaged in an active consulting or service contract exclusively for PyCentric, or any individual holding a controlling interest/majority shareholding in PyCentric).
• Referrers must not refer themselves or any company/entity in which they hold a controlling interest, or are a decision-maker for the services being referred.
• Referrers must be in good standing with PyCentric. For purposes of this clause, ‘good standing’ means the Referrer has no unpaid invoices due to PyCentric, no pending claims of breach against them by PyCentric, and no prior history of misconduct in this or any other PyCentric referral or incentive program.
• Referrers must agree not to use spam, unsolicited commercial email, or any other unethical or illegal marketing practices to generate referrals.
• The Program is open to referrers globally, unless explicitly stated otherwise by PyCentric for specific campaigns or regions.

Referred Client Eligibility:

• A "Referred Client" must be a new client to PyCentric, meaning they have not previously engaged with PyCentric for services, they are not currently in active discussions and they have not been in the PyCentric sales pipeline within the last 365 days. This includes any past or present proposals, demonstrations, or formal communications.
• The Referred Client must be a legitimate business entity or individual with a genuine and identifiable need for PyCentric's services. Referrals of fictitious entities or individuals will be disqualified.
• The Referred Client must be capable of making purchasing decisions or be an authorized representative who can connect PyCentric with the relevant decision-maker.
• The Referrer may refer a government entity or public sector organisation. However, if applicable procurement laws, regulations, or internal policies prohibit the payment of a referral fee or the provision of referral-related documentation or benefits in respect of that referral, no such fee, documentation, or benefits shall be payable or provided. It is the responsibility of the Referrer to ensure that any such referral is compliant with all relevant procurement requirements. The Referrer indemnifies and holds harmless PyCentric against any claim, loss, or damage arising from or related to a breach of applicable procurement requirements in respect of any such referral.
• While there is no strict minimum project value for a referral to be considered, PyCentric reserves the right to decline referrals for projects deemed too small in scope or value to warrant participation in the Program at our sole discretion.
• The Referred Client must be aware of the referral and reasonably open to being contacted by PyCentric.

All referrals must be submitted through the official PyCentric Client Referral Form available on our website or provided directly by a PyCentric representative. The referrer must provide complete and accurate information for both themselves and the potential client. Submission of a referral does not guarantee eligibility for a reward.

By submitting a referral, the Referrer acknowledges and confirms that they have obtained all necessary consents, permissions, or authorisations as required under applicable data protection laws, including but not limited to the Protection of Personal Information Act, 2013 (POPIA), to share the Referred Client’s personal information with PyCentric and for PyCentric to contact the Referred Client regarding its services.

Upon receipt of a referral, PyCentric will review the submission to determine if the potential client meets the eligibility criteria. PyCentric reserves the right to decline any referral at its sole discretion without providing a reason.

Referrers will be notified of the initial validation status of their referral.

A referral becomes "Qualified" and eligible for a reward only when ALL of the following conditions are met:

• The referral was submitted via the official PyCentric Client Referral Form and validated by PyCentric.
• PyCentric successfully engages with the Referred Client and wins a project or service contract.
• The Referred Client signs a formal service agreement or contract with PyCentric.
• The Referred Client makes the first payment as per the agreed-upon payment terms for the project or service.

The referral reward will be calculated as 10% (ten percent) of the ex-VAT invoice value of the initial project or service contract with the Qualified Referred Client, with a maximum payout for any single Qualified Referral capped at R10,000 (Ten Thousand South African Rands). For example:

• If the ex-VAT invoice value is R50,000, the reward is R5,000 (10% of R50,000).
• If the ex-VAT invoice value is R120,000, the reward is R10,000 (capped at R10,000).
• If the ex-VAT invoice value is R8,000, the reward is R800 (10% of R8,000).

The reward is based solely on the initial project or service contract. Subsequent projects or expansions of work with the same client will not be included in the referral reward calculation.

The referral reward will be processed only after the Referred Client has fulfilled the conditions of a "Qualified Referral" and has made the first payment for the contracted services to PyCentric. Rewards will be paid via electronic bank transfer (EFT) to the referrer's nominated South African bank account only. The referrer is responsible for providing accurate banking details. PyCentric is not responsible for delayed or lost payments due to incorrect information or otherwise.

All referrers are solely responsible for any and all taxes, duties, and other charges that may be imposed on the referral reward by any tax authority. PyCentric will not be responsible for deducting or paying any taxes on behalf of the referrer.

• The Referrer must not make any false, misleading, deceptive, or unauthorised claims, representations, or warranties regarding PyCentric, its services, or its capabilities.
• The Referrer must act honestly, ethically, and professionally in all dealings relating to this Agreement and must not engage in any conduct that may harm or reasonably be expected to harm the reputation, goodwill, or business interests of PyCentric or any Referred Client.
• The Referrer must respect the confidentiality and privacy of all prospective and Referred Clients and must ensure that they have obtained all necessary and appropriate consents or authorisations required under applicable laws, including the Protection of Personal Information Act, 2013 (POPIA), prior to disclosing or sharing any personal information with PyCentric.

• Duplicate Referrals: If a potential client is referred by more than one Referrer, only the first valid referral received by PyCentric (based on the timestamp of submission) will be considered eligible.
• Existing Engagements: No reward will be paid for referrals of individuals or entities that are already in active discussions, negotiations, or engagements with PyCentric, as determined in PyCentric’s sole discretion.
• Fraudulent or Unethical Activity: Any Referrer found to be engaging in fraudulent, deceptive, unethical, or malicious conduct to manipulate the Program, including but not limited to providing false information, impersonation, or misrepresentation of PyCentric’s services, will be immediately disqualified. PyCentric reserves the right to forfeit or reclaim any pending or previously paid rewards.
• Incomplete or Inaccurate Information: Referrals submitted with incomplete, inaccurate, or unverifiable information may, at PyCentric’s discretion, be disqualified from eligibility for any reward.
• Failure to Convert: No reward will be paid if the referred client does not enter into a signed agreement with PyCentric, fails to make the first payment due under such agreement, or cancels the engagement prior to the initial payment.
• Non-Compliance with Applicable Laws: Referrals that violate any applicable laws, regulations, or codes of practice including but not limited to the Protection of Personal Information Act, 2013 (POPIA), the Consumer Protection Act, 2008, and the Electronic Communications and Transactions Act, 2002 will be automatically disqualified.
• Conflicts of Interest: Referrals submitted by employees, agents, consultants, or representatives of PyCentric, or their immediate family members, are ineligible for rewards, unless expressly authorised in writing by PyCentric.
• Delayed or Non-Payment by Referred Client: Rewards are contingent upon receipt of cleared funds from the Referred Client. If the client delays payment beyond 30 (thirty) days of the due date, cancels the contract, or becomes insolvent or subject to business rescue proceedings, no reward will be due.
• Discretionary Determination: PyCentric retains sole discretion to determine the eligibility of any referral, and any decision regarding qualification or disqualification under this Program shall be final and binding.

PyCentric reserves the right to modify, suspend, or terminate the Client Referral Program or these Terms and Conditions at any time, for any reason, and without prior notice. Any such changes will be effective immediately upon posting on our website. However, any qualified referrals submitted and validated before the date of modification or termination will be honored according to the Terms in effect at the time of their submission.

PyCentric shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from participation in the Program.

• Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the Program and supersedes all prior agreements or understandings, whether written or oral.
• Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• No Waiver: Any failure or delay by PyCentric to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: Referrers may not assign or transfer any rights or obligations under this Agreement without PyCentric’s prior written consent.
• Force Majeure: PyCentric shall not be liable for any delay or failure to perform obligations due to circumstances beyond its reasonable control.

These Terms and Conditions shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
