1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "you") and PyCentric (Pty) Ltd ("PyCentric", "we", "us", or "our"), a company registered in the Republic of South Africa. By accessing our website (pycentric.co.za), submitting project discovery forms, or executing a Statement of Work, you agree to be bound by these Terms.
2. Professional Engineering & Consulting Engagements
All custom software engineering, automation architecture, AI development, and application development projects are governed by written Statements of Work ("SOW") or Master Services Agreements ("MSA") executed between the parties:
- Fixed Scope & Milestones: Projects are scoped with explicit deliverable milestones, test criteria, and acceptance sign-offs.
- Collaborative Scope Swapping: If technical priorities change during development, we support substituting pending features of equivalent estimated effort without incurring penalty change fees.
- Deployment & Handover: Work product is delivered to client-controlled cloud environments, staging repositories, or production servers upon milestone completion.
3. Intellectual Property Sovereignty & Ownership
We believe in 100% intellectual property sovereignty for our clients:
- Custom Client Deliverables: Upon full and final settlement of all milestone invoices for a given SOW, PyCentric assigns all right, title, and interest in and to the custom software, business logic, schemas, and assets created specifically for the Client under that SOW.
- Pre-Existing Scaffolding & Core Tooling: PyCentric retains ownership of its pre-existing foundational developer tooling, open-source dependencies, and reusable framework libraries. Clients are granted an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and deploy such embedded scaffolding.
4. Payment Terms & Invoicing
- Currency & Invoicing: All pricing and quotes are denominated in South African Rand (ZAR) unless explicitly agreed otherwise in writing.
- Payment Corridors: Payments may be made via Electronic Funds Transfer (EFT) or verified payment gateways (PayFast, Ozow, Capitec Pay).
- Payment Schedule: A deposit is required to commence work. Flexible payment structures are available to suit your project. Invoices are due within 14 calendar days of issuance.
5. Quality Warranty & Post-Launch Support
PyCentric provides a 90-day comprehensive defect warranty (3-Month Free Warranty) starting from the production launch date. During this period, PyCentric will remediate any reproducible defects, broken links, or syntax errors that deviate from the agreed SOW specifications at zero additional charge.
Service Level Agreements (SLAs) & SLOs: Post-warranty maintenance retainers, dedicated operational support hours, uptime commitments (≥ 99.9% baseline), and emergency response corridors are governed by separate Service Level Agreements. All SLAs, uptime targets, and incident resolution SLOs are customized and strictly dependent on the specific client project scope, deployment architecture tier, hosting infrastructure, and contractual requirements. Availability and SLA calculations explicitly exclude scheduled maintenance windows and upstream cloud, hosting, telecommunications, power/grid, or third-party infrastructure provider outages where PyCentric does not own or control the underlying deployment infrastructure.
6. Limitation of Liability
To the maximum extent permitted by South African law:
- PyCentric's total cumulative liability arising out of or related to any project engagement shall be limited to the total fees actually paid by the Client to PyCentric under the specific SOW giving rise to the claim during the preceding 6 months.
- Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption.
7. Confidentiality & Data Security
Both parties agree to treat all business information, technical architectures, proprietary code, and financial data exchanged during the engagement as strictly confidential, protecting it with at least a reasonable standard of care.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably within 30 days shall be subject to the exclusive jurisdiction of the High Court of South Africa (Gauteng Division, Johannesburg).
